2017 Election

Holly Theater Elections Procedures

Board of Directors 2017

Board Composition:
The Board of Directors is comprised of eleven (11) members. Each member of the Board of Directors shall serve
a term of three years. Members of the board may be elected to no more than two (2) consecutive terms without
limitation. All directors and elected officers shall serve without compensation for the performance of their
duties. Four (4) board positions are up for election this year.

Membership Classes:
Only members whose dues have been paid for the current year are entitled to vote. Various terminologies have
been used over the years to identify different contribution levels and classes of membership (Actors, Directors,
etc.) all are entitled only one (1) vote.
  • Joint Ownership Members – in cases where a membership is held by two or more individuals or by an organization, that group will receive one (1) ballot and the group will determine how the votes will be cast for that ballot.
  • Charter Members – are entitled to lifetime voting privileges without the payment of dues. This is a class of membership that was created for those individuals who committed to make a fixed contribution every year for up to 20 years to retire the mortgage of the Holly Theater Building during the 1990’s renovations.
  • Honorary and Lifetime Members – members shall have all the privileges of members, except the right to vote. These members are recognized for significant contributions (financial and otherwise) to the Holly Theater over time.

Election Process:
A ballot will be mailed to all Voting Members by November 10, 2017. The ballot shall contain a unique identifier
which will allow the Election Committee to control for duplicate ballots. Voting Members who do not receive
a ballot in the mail will be issued a second ballot with the same unique identifier. The Election Committee will
check off ballots with unique identifiers to confirm that no more than one ballot has been received for
tabulation.

Election Ballot Tabulation:
The ballots will be tabulated by the Election Committee beginning at 7:00 P.M. on November 30, 2017, in the
Holly downstairs office. Members are invited to observe the ballot counting. Members must mail the ballot
with sufficient lead time to ensure that the ballot is received by the Holly Election Committee by 3:00 P.M.,
November 29, 2017. Ballots can be mailed to the Holly Theater, 69 West Mail Street, Dahlonega, GA 30533 or
can be deposited at the theater on Mondays or Wednesday between the hours of 10:00 A.M. and 3:00 P.M. NO
BALLOTS received after 3:00 P.M. on Wednesday, November 29, 2017 will be counted.
The election will be by plurality-at-large voting. The four (4) individuals with the greatest number of votes will
be considered to have won the election.

Election Results:
Election results will be announced at the Annual Members Meeting on December 2, 2017 and posted on the
Holly Theater website.
